1. Introduction
Welcome to KadThai. KadThai operates a marketplace website and mobile application serving the United States. By accessing our platform, you agree to these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use our services.
2. Modification of Terms
We reserve the right to modify these Terms at any time without prior notice. It is your responsibility to review these Terms periodically. Your continued use of the KadThai platform following any modifications constitutes your acceptance of the revised Terms.
3. Platform Role & Marketplace Nature
KadThai is solely a marketplace platform connecting US-based buyers with independent Thai sellers. We do not own, prepare, or directly fulfill any products listed on our platform. We do not charge commission fees to buyers. All transactions and delivery/pickup arrangements are established directly between the buyer and the seller.
4. Acceptable Use and Account Security
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Any abusive behavior, scraping, use of automated bots, or interference with our platform's infrastructure is strictly prohibited and may result in immediate account termination.
5. Ordering and Fulfillment
Orders placed through KadThai are subject to confirmation by the respective seller. Because KadThai is just a platform, the buyer’s initial request will only be finalized and charged once the seller reviews and confirms the order. Delivery methods, timelines, and product quality are solely determined and administered by the independent sellers.
6. Cancellations, Returns, and Refunds
KadThai acts as the storefront. All requests for cancellations, returns, or refunds must be directed to the specific seller from whom you purchased the items. Buyers must negotiate directly with the seller for any food issues or delays. While KadThai may facilitate communication between buyers and sellers, ultimate responsibility and decisions regarding refunds strictly rely upon the seller's policies.
7. Seller Subscriptions and Ad Banners
Sellers utilizing the KadThai platform are subject to a monthly subscription fee. Sellers may also purchase promotional ad banner slots on the platform. These fees are non-refundable unless otherwise required by law or explicitly stated by KadThai.
8. User-Generated Content
You retain ownership of any reviews, ratings, or content you submit. However, by posting content on KadThai, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content across our platform. You agree not to post anything illegal, offensive, explicit, or infringing on intellectual property.
9. Third-Party Services
Our platform utilizes third-party services, such as Stripe for payment processing. Your use of these third-party services is subject to their respective terms and conditions. KadThai assumes no liability for the actions, errors, or omissions of third-party payment processors or external vendors.
10. Communications
By creating an account, you consent to receive communications from KadThai, including emails, push notifications, and SMS messages regarding your orders, updates, and marketing. You may opt out of marketing communications at any time.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." KADTHAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF THE PRODUCTS OFFERED BY SELLERS, NOR DO WE GUARANTEE THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, KADTHAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM OR ANY PRODUCTS PURCHASED THROUGH IT. YOUR SOLE REMEDY FOR DISSATISFACTION IS TO STOP USING THE PLATFORM.
13. Indemnification
You agree to indemnify and hold harmless KadThai, its officers, directors, and employees from any claims, damages, or expenses arising from your violation of these Terms, your misuse of the platform, or your interaction with any seller.
14. Arbitration Agreement
Any dispute or claim relating to these Terms or your use of KadThai shall be resolved by binding arbitration, rather than in court, conducted in accordance with the rules of the American Arbitration Association. YOU AND KADTHAI AGREE TO WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
15. Notice to California Consumers
Under California Civil Code Section 1789.3, California users are entitled to specific consumer rights notices. If you have complaints or concerns, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
